WE BELIEVE IN THE DEITY OF OUR LORD JESUS CHRIST, IN HIS VIRGIN
BIRTH, IN HIS ASCENSION TO THE RIGHT HAND OF THE FATHER, AND IN HIS PERSONAL FUTURE RETURN TO THIS EARTH IN POWER AND GLORY TO RULE OVER THE NATIONS.

WE BELIEVE THAT THE ONLY MEANS OF BEING CLEANSED FROM SIN IS THROUGH REPENTANCE AND FAITH IN THE PRECIOUS BLOOD OF CHRIST.

WE BELIEVE THAT REGENERATION BY THE HOLY SPIRIT IS ABSOLUTELY ESSENTIAL FOR PERSONAL SALVATION.

WE BELIEVE THAT THE REDEMPTIVE WORK OF CHRIST ON THE CROSS
PROVIDES HEALING OF THE HUMAN BODY IN ANSWER TO BELIEVING PRAYER.

WE BELIEVE THAT THE BAPTISM OF THE HOLY SPIRIT, ACCORDING TO
ACTS 2:4 IS GIVEN TO BELIEVERS WHO ASK FOR IT.

WE BELIEVE IN THE SANCTIFYING POWER OF THE HOLY SPIRIT BY WHOSE INDWELLING THE CHRISTIAN IS ENABLED TO LIVE A HOLY LIFE.

WE BELIEVE IN THE RESURRECTION OF BOTH SAVED AND THE LOST, THE ONE TO EVERLASTING LIFE AND THE OTHER TO EVERLASTING DAMNATION.






THE CONSTITUTION












PREAMBLE



For the purpose of establishing and maintaining a place for the worship of Almighty God, our Heavenly Father; to provide for Christian fellowship for those of like precious faith, where the Holy Ghost may be honored according to our distinctive testimony; to assume our share of responsibility and the privilege of propagating the gospel of Jesus Christ by all available means, both at home and in foreign lands; we, whose names appear upon the Fellowship roster under the above date, do hereby adopt the following articles of church order and submit ourselves to be governed by them.





ARTICLE I. NAME

The name of this Fellowship shall be Michiana Christian Embassy.

ARTICLE II. PREROGATIVES

SECTION I.
This Fellowship shall have the right to govern itself and to conduct its own affairs according to the standard of the New Testament Scriptures. This right shall specifically include such matters as the calling of a Pastor, the election of an Official Board, the discipline of members, and the conduct of its own services and church program.

SECTION 2.
In connection therewith, or incidental thereto, it shall have the right to purchase or acquire by gift, bequest or otherwise either directly or as trustee, and to own, hold in trust, use, sell, convey, mortgage, lease or otherwise dispose of any real estate or chattels as may be necessary for the furtherance of its purposes; all in accordance with its Constitution and By-laws or as the same may be hereafter modified or amended.

ARTICLE III. AFFILIATION

SECTION 1.
Michiana Christian Embassy has the right to Affiliate with other non-profit Ministries that exist for the stated purpose of spreading the Gospel of Jesus Christ according to our Lord’s command in Matthew 28:18-20 (“The Great Commission”). No such affiliation will ever be entered into which threatens the local sovereignty of Michiana Christian Embassy, or suspends or otherwise sets aside its local ownership and self-government as a prerequisite of said affiliation. Such affiliation must first be approved by a 2/3 majority of the Official Board, and then presented to the entire Fellowship for approval, based upon a 2/3 majority vote of those in attendance at the Annual or Special Business meeting where said affiliation is under consideration.





ARTICLE IV. TENETS OF FAITH

This Fellowship shall accept the Holy Scriptures as the revealed Will of God, the all-sufficient rule of faith and practice, and for the purpose of maintaining general unity, adopts the statement of fundamental truths as listed in this Constitution under the heading of “What We Believe”.

ARTICLE V. ORDINANCES

SECTION 1.
The ordinance of baptism by immersion in water (Matt. 28:19) shall be administered to all those who have repented of their sins and who have believed on the Lord Jesus Christ to the saving of their souls, and who give clear evidence of their salvation. (Romans 6:3-5; Col. 2:12).

SECTION 2.
The ordinance of the Lord’s Supper shall be observed regularly as enjoined in the Scriptures (Luke 22:19, 20; 1 Cor. 11:23-26).

ARTICLE VI. MEMBERSHIP

The members of this Fellowship shall consist of those who have met the requirements for membership as stated in the By-Laws, have been received into membership, and have not been removed from the membership roll. They shall be classified as active and inactive as defined by the By-laws.

ARTICLE VII. GOVERNMENT

SECTION 1.
The government of this Fellowship shall be vested in the Pastor, Elders and Deacons who are appointed by God (Romans 13:1, 1 Tim. 1: 1, 2; Hebrews 13:17) and confirmed by the affirming vote of the membership (see By-Laws Article III, Sections 1 & 2). The majority vote of the membership shall be decisive in all matters delegated to it by the Constitution and By-Laws of the local Fellowship (See Bylaws Article V. Section 2 Under property rights).


SECTION 2.
The officers of the Fellowship shall be the Pastor, Elders and Deacons (The number of elders and deacons to be no less than six, and as many as are deemed necessary by the Pastor to minister effectively to the church). The combination of the Elders and Deacons shall constitute the “Official Board” referred to throughout the Constitution and By-Laws. One of the Official Board shall serve as secretary and one as treasurer whenever feasible. If it seems advisable, the two offices may be combined in one Secretary-Treasurer, and where necessary another member of the Fellowship may be appointed Secretary-Treasurer. In the latter case, the Secretary-Treasurer shall serve under the direct supervision of the Pastor and Deacons and Elders and shall not be a member of the executive committee.

ARTICLE VIII. MEETINGS

SECTION 1.
Meetings for public worship shall be held each Lord’s Day and during the week as may be considered convenient by the congregation.

SECTION 2.
There shall be an Annual Business Meeting of the Fellowship at which time reports shall be given and the election of officers shall take place. Special Business Meetings may be called as need shall arise in the manner hereinafter provided in the By-Laws.

ARTICLE IX. DEPARTMENTS AND COMMITTEES

The Fellowship shall hereby provide for the establishment of Sunday School Department, Young People’s work, relief committees, home and foreign missionary committees, or any other departments or committees as the needs of the work may require. All such departments shall be subordinate to the Fellowship and shall be under the general supervision of the Pastor and Official Board.

ARTICLE X. FINANCES

All funds for the maintenance of the Fellowship shall be provided by the voluntary contributions or the tithes and offerings of the members and friends of the organization.

ARTICLE XI. PROPERTY

All property of the Fellowship shall be deeded to the Fellowship and held in its corporate name. No property of the Fellowship shall be sold, leased, or mortgaged or otherwise disposed of without the same shall have first been recommended by a vote of at least two thirds of the voting membership who are in attendance at a regular meeting or a special meeting of the Fellowship which has been called for the consideration of the proposal.

ARTICLE XII. AMENDMENTS

This Constitution may be amended or changed by a two-thirds vote of the membership of the Fellowship who are in attendance at any regular or special meeting called for that purpose, provided due notice of such proposed change shall have been made at all services on at least two Sundays preceding the time of such meeting, and a copy of the proposed change shall have been posted on the bulletin board.

















THE BY-LAWS

“All references to gender in the By-Laws of this fellowship, except in Scripture, are to be understood to be speaking of he/she, him/her, saints, believers, etc. with all requirements and responsibilities the same.”





















ARTICLE I. MEMBERSHIP

SECTION 1. QUALIFICATIONS:
Only those shall be eligible for membership in this Fellowship who:
(1)Shall have reached the age of 18 years.
(2)Show evidence of a genuine experience of salvation: John 3:3, 5-7; II Cor. 5:17.
(3)Love the Lord your God with all your heart, soul, mind, and strength; and love not the world. These statements reflect the believer’s commitment to submit every thought, intent, and action to the leadership of the Holy Spirit, earnestly seeking to worship God in the Spirit and in Truth. Matt. 22:37, Gal. 2:20; 5:22-24, II Cor. 6:14-18, I John 2:15-17, John 4:24.
(4)Abstain from any activity which harms the body of the believer, which is the redeemed temple of the Holy Ghost. I Cor. 6:19, 20.
(5)Subscribe to the tenets of faith as set forth in the Constitution of this Fellowship.
(6)Indicate a willingness to cooperate in the work of this Fellowship, to be governed by its Constitution and By-Laws, and to contribute regularly to its support as the Lord may prosper them.
(7)To insure the integrity and purity of the gospel ministry of Michiana Christian Embassy, it shall be understood that members shall not participate in, nor join themselves to any secret societies which put forth philosophies or doctrines of spirituality and salvation based upon good works and esoteric (secret) knowledge; or demand the taking of secret oaths which are contradictory to the Word of God (John 3:19-21; Romans 13:12; 2 Corinthians 6:14-17; Ephesians 5:8-13; Matthew 5:33-37; James 5:12).
SECTION 2. RECEPTION:
The Official Board shall serve as a membership committee to pass upon all candidates for membership in this Fellowship. Those desiring to apply for membership shall fill out the application form provided by Michiana Christian Embassy and submit it to the Pastor or Secretary. If, after proper investigation by the Official Board, the applicant is endorsed for membership, he may be publicly received at any convenient service and his name inscribed upon the membership roll.

SECTION 3. INACTIVE MEMBERS:
Those who shall have removed from the community, but have not yet transferred their membership to another church, together with those who for any other cause (except physical disability or temporary absence from the community) shall have absented themselves from the regular services of the Fellowship for a period of 90 days or more shall be classified as inactive members and shall not be qualified to participate in the business of the Fellowship. If such inactive member shall have become active again by resumed attendance at church services, and if he has not departed from the standard of membership of the Fellowship, the Official Board may return his name to the active list without formal reception into membership again.

SECTION 4. REVISION OF MEMBERSHIP ROLL AND DISCIPLINE OF MEMBERS:
It shall be the duty of the Official Board to revise the membership roll of the Fellowship at least once a year, prior to the Annual Business Meeting. The names of those whose lives no longer conform to the standards of membership, or who willfully cause discord within the Fellowship by word or action (Romans 16:17,18) may be removed from the membership roll by majority vote of the Official Board. It is understood that no such action shall be taken unless and until patient and persistent effort shall have been made to win such individuals back to the standard of faith and conduct of this Fellowship. If any individual removed from membership shall protest the action of the Official Board, he shall be entitled to a hearing before the congregation whose action by a majority vote shall be considered final.

SECTION 5. TRANSFER OF MEMBERSHIP:
A letter of transfer, signed by the Pastor and Secretary, shall be granted upon request. Such letter shall be addressed to the Pastor or Secretary of the receiving church and shall state whether the member is in good standing in the local Fellowship or not. If he is not in good standing, reasons for his unfavorable rating shall be indicated.

ARTICLE II. DUTIES OF OFFICERS

SECTION 1. PASTOR:
The Pastor shall be considered as the spiritual overseer of the Fellowship and shall direct all of its activities. He shall be the President of the Corporation and shall act as chairman of all the business meetings of the Fellowship and of the Official Board. He shall be an ex-officio member of all committees or departments. He shall provide for all the services of the Fellowship and shall arrange for all special meetings, conventions, or revival campaigns. No persons shall be invited to speak or preach in the Fellowship without his approval.
SECTION 2. THE OFFICIAL BOARD:
The Official Board shall act in an advisory capacity with the Pastor in all matters pertaining to the Fellowship in its spiritual life and the ministry of its ordinances. They shall act in the examination of the applicants for membership and also in the administration of the discipline of the Fellowship. They shall be the custodians of the church property and shall be responsible for its maintenance. They shall serve as a pulpit committee in the event the pastorate shall become vacant.
In addition, once they have served in the capacity of pulpit search committee, and after the ratification of the pastoral candidate by the required majority vote of the congregation (2/3), they shall then serve as the ordination committee, conferring all the rights and privileges of the pastoral office upon the new leader.
a. Legal Implications of Ordination. This ordination shall apply to the local Fellowship, while also providing for legal recognition and license to perform sacerdotal duties (weddings, funerals, prison and hospital visitation, etc) within the legal jurisdictions of both the State of Michigan and Federal Governments. This legal recognition also pertains to the minister’s benefits and responsibilities under both State and Federal Income Tax laws applicable to ordained clergy.

The Official Board shall arrange for its own meetings as may be necessary for the discharge of its duties. Meetings may be called by the Pastor, or by request of any two Board Members and those responding to such a call shall constitute a quorum provided notice has been given to all in ample time. When the pastorate is vacant, the Board may select its own chairman to serve until the pastorate is filled.
Salaries of the Pastor and all other paid personnel shall be set by the Official Board, and entered in the minutes at the regular monthly Board meeting. All salaries shall be reviewed annually, prior to the Annual Business Meeting, or at any other time deemed necessary, in the light of responsibilities carried, cost of living index, and the financial resources of the Fellowship.
Members of the Official Board shall recognize that they have been chosen to serve, not to govern the Fellowship and that it is their responsibility to carry out policies established by the congregation to who questions of importance should be referred with the recommendation of the Board.

SECTION 3. SECRETARY:
The Secretary shall keep the minutes of the Official Meetings of the Official Board and of the annual and special meetings of the Fellowship. He shall keep a record of the membership of the Fellowship and perform any other clerical work necessary to the proper discharge of his duties. He shall be custodian of all legal documents.

SECTION 4. TREASURER:
The Treasurer shall be the custodian of the funds of the Fellowship and shall receive and disburse same under the direction of the Pastor and the Official Board. He shall deposit all funds in his care in a responsible bank in the name of the church. HE SHALL MAKE ALL DISBURSEMENTS BY CHECK WHICH SHALL REQUIRE TWO SIGNATURES. HE SHALL KEEP A TRUE AND ACCURATE RECORD OF ALL MONEYS RECEIVED AND DISBURSED. HE SHALL MAKE REPORTS AS MAY BE REQUESTED. HIS BOOKS SHALL BE REVIEWED OR AUDITED ONCE A YEAR, AND WHEN HE MAY RETIRE FROM OFFICE, BY A PROFESSONAL BOOKKEEPER OR AUDITOR APPOINTED BY THE BOARD.



ARTICLE III. ELECTION AND VACANCIES

SECTION 1. PASTOR:
The Pastor shall be elected and ordained to serve for an indefinite period. The Pastor shall be nominated by the Official Board, who, when serving as the nominating committee, shall seek the counsel of reputable Pentecostal sources including: affiliated fellowships, Bible Colleges and Seminaries, or other Pentecostal Ministry Networks that are in harmony with the Statement of Faith contained in the Constitution of Michiana Christian Embassy for the purpose of securing resumes or checking the references of possible pastoral candidates.
Any member of the Fellowship may suggest names for the consideration of the Pulpit committee. Only one name shall be placed in nomination at one time.
The Board of Elders and its duly elected chairman shall preside over the voting. Election shall be by secret ballot, and a two-thirds majority of all votes cast shall be required to constitute election. Once the election is certified, a special service shall be set for the purpose of ordaining the new Pastor in the presence of the entire Fellowship. There may also be an invitation extended to a Presbytery for the purpose of conferring its confidence and blessing upon the Pastor through the laying on of hands. The Presbytery shall consist of men and/or women who are themselves credentialed ministers of proven experience, and who possess personal knowledge of the Pastor’s ministry gifting as well as his or her personal integrity.
a. Credentialing of Additional Ministerial Candidates. Any future appointments of Spiritual leaders in the Fellowship (full or part-time) for the purpose of overseeing one of its various ministry departments, or as a home or foreign missionary; may be given the opportunity of receiving ordination as a Minister within the Fellowship upon the discretion of both the Senior Pastor and the Official Board. Such ordination shall be based upon the education, experience, and depth of commitment of the individual minister. If such a credential is granted, the Senior Pastor and Official Board will officially confer it in a public service in the presence of the entire Fellowship through the laying on of hands.
b. Transfer or Removal of Credential. In such case that the minister should cease in serving Michiana Christian Embassy due to relocation, then their credential shall be held until legitimate proof can be given in writing by the receiving ministry/church that the minister is continuing in the service of Jesus Christ. If the minister is terminated from the staff of the Fellowship due to doctrinal, ethical, or professional reasons; their ministerial credential will be considered immediately null and void.

SECTION 2. ELDERS AND DEACONS:
The Elders and Deacons shall be nominated by the nominating committee, and shall be required to sign a letter of acceptance and commitment before his name is submitted for the vote of the membership. They shall be elected by secret ballot and a majority of all votes cast shall be required to elect. Their term of office shall be for three years, or until successors are elected and arranged so that one third of terms shall expire each year.

SECTION 3. SECRETARY AND TREASURER:
The Secretary and the Treasurer or the Secretary-Treasurer shall be selected by the Pastor and trustees in accordance with the provision of Article VII, Section 2, (CONSTITUTION).

SECTION 4. QUALIFICATIONS:
1 Timothy 3 shall be recognized as the standard of qualification for all Ministers and members of the Official Board. They shall specifically be free from all entanglements involving divorce and remarriage while a former companion of either husband or wife is still living. However, in the case of divorce prior to conversion, or due to scriptural allowances (Infidelity, Matt. 5:32, physical abuse or abandonment, 1 Cor. 7:12-16.), the proposed board member must be supported by the nominating committee, 2 Cor. 13:1 and the Senior Pastor before his name is submitted for the vote of the membership.

SECTION 5. NOMINATING COMMITTEE:
The Nominating Committee shall consist of the standing Board of Elders and Deacons working along with the Pastor. They shall nominate the Elders and Deacons. Also, any active member may submit a name for consideration to the Nominating Committee.

SECTION 6. VACANCIES:
(1)PASTORATE
In the event a Pastor has serious charges preferred against him or he departs from the tenets of faith, or his ministry has ceased to be effective, or no provision has been made for the termination of his ministry, power is vested in the Official Board to ask for the resignation of the Pastor at any of its regular business meetings. If such resignation is refused, the pastorate shall not be considered vacant until the action of the Official Board has been confirmed by a majority vote of the congregation at a meeting called for that purpose. Such a meeting shall be presided over by the designated Chairman of the Official Board, or a representative of an affiliated Fellowship or Ministry Network, whose authority is recognized by the Official Board. When a vacancy in the Pastorate shall occur, a supply shall be arranged for by the Official Board until a Pastor shall be chosen as prescribed in Section 1.
It shall be agreed between the Pastor and the Fellowship at the time of his election that should he resign he will give the Fellowship at least thirty days notice before vacating the pulpit. It shall be further agreed that, should the Fellowship request the Pastor’s resignation, they will grant him (except in cases involving moral turpitude) at least thirty days in which to vacate the pulpit or else pay him/her thirty days salary in advance.

(2)OTHER OFFICES:
(A)Any office may be declared vacant by an act of a majority of the membership of the Official Board at any regular or special business meeting.
(B)Grounds for such action shall be: (1) Unscriptural conduct. (2) Doctrinal departure from the tenets of faith. (3) Incompetence in office. (4) For any good and sufficient reason.
(C)Any incumbent under charges shall have opportunity for a fair and impartial hearing of his case before the Fellowship if he so desires.

(3)ELDERS AND DEACONS
In the event a vacancy results in the Official Board, the Pastor and remaining Board Members shall appoint a qualified replacement to serve as Elder/Deacon until the next Annual Business Meeting.

At the next Annual Church Business Meeting a replacement Elder/Deacon will be nominated and elected in accordance with Article III, Section 1, of the By-Laws to complete the remaining years, if any, of the vacated term.

ARTICLE IV. DEPARTMENTS AND COMMITTEES

SECTION 1. SUNDAY SCHOOL:
The Sunday School Superintendent shall be appointed by the Pastor and the Official Board and be presented to the Fellowship membership (active) at the Annual Church Business Meeting.
The Sunday School Superintendent along with the Pastor and Official Board will then be responsible for the appointment of all the other executive officers of the Sunday School who in turn shall appoint the other officers and assistants.
The Sunday School Superintendent with the Pastor shall appoint the teachers.
In the event the pastorate is vacant, the Sunday School Superintendent, with the Assistant Sunday School Superintendent shall have the right to appoint a teacher to a class when needed.

SECTION 2. YOUTH MINISTRIES:
The Young People of the Fellowship shall be organized as youth ministries under the supervision of the Pastor, Youth Pastor/Sponsor and the Official Board. The Youth Pastor/Sponsor shall have the responsibility to train the youth by helping them discover their individual gifts and callings, and to equip them for the future leadership in the Body of Christ.

SECTION 3. OTHER DEPARTMENTS AND COMMITTEES:
Other departments or committees, either special or standing, may be created by the congregation or the Official Board as the need may arise. The Pastor shall be a member of all committees by virtue of his office.


ARTICLE V. PROPERTY RIGHTS

SECTION 1.
The Fellowship shall be incorporated under the laws of the State of Michigan and all property, real or chattel, shall be taken, held, sold, transferred, or conveyed in the corporate name of the Fellowship.
a. Dependent Fellowships. Should the blessing of God lead Michiana Christian Embassy to plant additional Fellowships, the local properties purchased, leased, or built, shall operate under the Constitution and Bylaws of the sending Fellowship until they can demonstrate their viability through Self Government (20 voting members and 4 Elders in addition to the Senior Minister), Self Support (assumption of all financial obligations), and Self Propagation (Evangelism of their local community). At such a time as these three qualities can be measurably demonstrated, then the local Fellowship will be released from financial and political obligation to Michiana Christian Embassy and will adopt its own Constitution and Bylaws, and the credential of the Senior Minister will be transferred to the new Fellowship.

SECTION 2.
No real or chattel property of the Fellowship shall be sold, leased, mortgaged, or otherwise alienated without the same shall have been authorized by at least a two-thirds majority vote of the membership present at any duly called business meeting. The proposed action shall be announced in the notice of the business meeting.

SECTION 3.
The Pastor and the Secretary of the Fellowship shall certify in such conveyance, lease, or mortgage that the same has been duly authorized by the vote of the membership. Such certificates shall be held to be conclusive evidence thereof.

SECTION 4. DISSOLUTION CLAUSE.

Should Michiana Christian Embassy cease to function as a church and non-profit corporation as defined by the laws of the State of Michigan, the properties of the local Church shall be donated to another Pentecostal non-profit ministry for domestic or foreign missions work. The disposition of said property shall be determined by a 2/3 majority vote of those remaining leaders from among the Senior Pastor and the Official Board, as well as any remaining active members.

ARTICLE VI. BUSINESS MEETINGS

SECTION 1.
There shall be an Annual Business Meeting of the Fellowship at which time reports shall be given and election of officers take place. The time and date of this meeting shall be set by the Official Board, and adequate announcements shall be made in all services on at least two Sundays prior to the date of the meeting.

SECTION 2.
Special Business Meetings may be called by the Pastor, by majority vote of the Official Board, or by petition signed by not less than one fourth (1/4) of the active membership of the Fellowship. Adequate announcement, including purpose of the special meeting, shall be made at all services on two Sundays prior to the date of the meeting, or four days notice given to all active members by mail.

SECTION 3.
All Business Meetings of the Fellowship shall be conducted according to the accepted rules of parliamentary procedure in keeping with the spirit of Christian love and fellowship. The order of business in the Annual Business Meeting shall be:
(1)Devotional
(2)Reading of previous minutes by the Secretary
(3)Report of the Treasurer
(4)Roll call
(5)Report of Committees
(6)Unfinished Business
(7)Election of Officers
(8)New Business
(9)Adjournment

SECTION 4. VOTING CONSTITUENCY AND QUORUM:
(1)The voting constituency shall consist of all active members, 18 years of age and over, who are in good standing and not under charges.
(2)The active members of the Fellowship responding to the call for a regular or special business meeting shall constitute a quorum. (One fifth)


ARTICLE VII. ASSISTANCE

SECTION 1.
In any time of need, a request for counsel or assistance may be made: (A) by the Pastor, (B) by majority vote of the Official Board, (C) by majority vote of those present at any duly called business meeting, (D) written petition signed by not less than one third of the active members of the Fellowship.

SECTION 2.
Requests for assistance from an affiliated Corporate Fellowship with whom Michiana Christian Embassy is in good standing at the time of the request shall be made in writing addressed to the Officers of that same Fellowship, and shall state under which clause (A. To D. Above) the request is being made. Any Board member may certify that majority vote of the Board, and any signer may forward the petition signed by one-third of the membership.

ARTICLE VIII. AMENDMENTS

The by-laws may be amended at any regular or Special Business Meeting of the Fellowship by a majority vote of the membership present, provided the proposed amendment has been announced publicly on the two Sundays prior to the date of meeting, announcement to be made by the Pastor or the Secretary.
